Terms for using our services.

Tarheel Tactics LLC provides technology consulting, software development, and software-as-a-service platforms. Our Services may include strategic consulting, application development, marketing intelligence, data analysis, and related technology services.

For consulting and implementation engagements, specific scope, timelines, deliverables, and fees are defined in a separate written agreement or statement of work between you and Tarheel Tactics.

Advisory outputs, reports, and AI-generated content provided through our Services are for informational purposes and are not a substitute for professional legal, financial, medical, or other expert advice.

Some Services require you to create an account. When you do, you agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized access
• Accept responsibility for all activity under your account

Some of our Services require users to be at least 13 years of age. By creating an account, you represent that you meet the minimum age requirement for the Service you are using.

You agree not to:

• Use the Services for any unlawful purpose or in violation of these Terms
• Attempt to gain unauthorized access to any part of the Services or related systems
• Interfere with or disrupt the integrity or performance of the Services
• Reverse engineer, decompile, or disassemble any part of the Services
• Redistribute, resell, or sublicense the Services, reports, or data without written authorization
• Use automated tools to scrape, crawl, or extract data beyond authorized API usage
• Violate the terms of any third-party service accessed through our platforms (including Google, Twilio, and other integrated services)

We reserve the right to suspend or terminate accounts that violate these terms, with notice where practicable.

Our property: the Services, including all software, designs, trademarks, and content created by Tarheel Tactics, are our proprietary property or licensed to us. You may not copy, modify, or distribute our materials without written permission.

Your content: you retain ownership of content you submit through our Services. By submitting content, you grant us a limited, non-exclusive license to use, process, and display it as necessary to deliver the Services.

Consulting deliverables: unless otherwise agreed in a written engagement agreement, pre-existing intellectual property remains with its owner. Deliverables are licensed or assigned as defined in the applicable agreement.

The Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the Services will be uninterrupted, error-free, or secure. Advice, reports, and deliverables are provided based on the information available at the time and should not be relied upon as the sole basis for business decisions.

To the maximum extent permitted by law, Tarheel Tactics LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or related to your use of the Services.

Our total liability for any claims arising from or related to the Services shall not exceed the greater of (a) the amount you paid to Tarheel Tactics in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100 USD), unless otherwise specified in a written engagement agreement.

We may suspend or terminate your access to the Services at any time for violation of these Terms, with notice where practicable. You may stop using our Services at any time.

For consulting engagements, termination is governed by the applicable written agreement. Obligations that by their nature should survive termination — including confidentiality, intellectual property, limitation of liability, and indemnification — will remain in effect.

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions.

Any dispute arising from these Terms or your use of the Services shall be resolved through binding arbitration administered in accordance with the rules of the American Arbitration Association. You agree that any arbitration will be conducted on an individual basis and not as a class, consolidated, or representative action.

Either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm.
